Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Applied Coaching LLC ("Applied Coaching," "we," "our," or "us"), including the Last Mile Coaching platform, related websites, applications, and any other services we make available (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.
Acceptance of Terms
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Description of Services
Applied Coaching provides AI-powered executive coaching tools designed to support coaches and their clients. The Services may include web and mobile applications, conversational interfaces, scheduling and communication tools, and related functionality. Features and availability may change over time as we improve the Services.
User Responsibilities
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account credentials, for any activity that occurs under your account, and for ensuring that any information you provide is accurate and up to date. You may not attempt to interfere with the Services, access them through unauthorized means, or use them to transmit harmful content.
Intellectual Property
The Services, including all content, software, trademarks, and designs, are owned by Applied Coaching or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. No rights are granted beyond those expressly stated in these Terms.
Coaching Content and AI Outputs
The Services may generate coaching suggestions, summaries, and other outputs using large language models and other AI techniques. These outputs are intended to support, not replace, human judgment. Applied Coaching is not a licensed provider of mental health, medical, legal, or financial advice, and nothing in the Services should be interpreted as such.
Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Applied Coaching disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Applied Coaching and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, whether based on warranty, contract, tort, or any other legal theory. Our total aggregate liability for any claim arising from or related to the Services shall not exceed the amount you paid us, if any, in the twelve months preceding the claim.
Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if continued access would harm the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will do so.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the exclusive jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date above. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
